Contract Law, the “Battle of the Forms,” European Law, and the Value of a Uniform Code
[ send me this essay ]
This 28 page report discusses the complications of contract law, especially in terms of international transactions. In the highly-competitive and globalized world of the 21st century, the alliances that exist between individuals, corporations, and even nations carry an enormous amount of consequence. Far too often, contract law has been modified to facilitate the use of standard form contracts to assure that the organization is held blameless in regard to actions undertaken by an individual or to serve the interests of one nation over those of another. Because of the switch from an industrial age economy to an information economy, the necessity for coherent, meaningful, and predictable legal rules for contracts that serve as the framework for the new economy has grown dramatically. The UCC of the United States is discussed along with United Nations’ Convention on Contracts for the International Sale of Goods or CISG, the UNIDROIT Principles of International Commercial Contracts, and the Principles of European Contract Law. Each demonstrates a significant variance in content, nature and scope, but must be considered in terms of the modern and irreversible phenomenon of globalization. Bibliography lists 17 sources.

Contract Law.
[ send me this essay ]
(5 pp) Even though we have been buying and selling in one way or another throughout the history of the United States, commercial contract law as a formal entity is less than a hundred years old. Prior to that time individual states might determine what constituted a contract, but that might very from state to state. However as states began dealing with each other in a contractual manner, or as business cross state lines more and more, some sort of uniform body of law was needed concerning commerce. This was done in the forties and labeled the uniform commercial code (Dehrer-Wendt ppg). Let's see if there are any differences in individual contract law. What themes might apply? A 7 page paper discussing the situation in which Betsy Ross has purchased (and paid in full in cash) a painting for sale at an antique shop. She asked the shop owner to repair a small tear in the painting as she looked on; they both became aware of some paper folded into the item, hidden within the frame behind the painting. That paper appears to be a draft of the Declaration of Independence, written in Thomas Jefferson's own hand. The shop owner no longer wants to sell the item for the stated price and has offered to refund Ms. Ross' cash payment of $150. On her refusal, the shop owner refused to relinquish the painting and all items associated with it. The paper is a chronology of Ms. Ross' attorney's actions and rationale for them.
